When does exit tax apply?

Exit taxation occurs when one leaves a country and has latent reserves in that country. The regulations and the assets affected are defined differently depending on the country.

In Germany, for example, exit taxation is set at approximately 27 % and applies to stock holdings or shares in GmbHs valued at over 1 %. The capital gain is taxed as if the assets had been sold.

Do I also have to register with 0 turnover?

Yes, every company must be registered within 90 days, regardless of whether it generates turnover or not.

Are there penalties for non-compliance?

Those who fail to carry out the corporate tax registration, as well as the ongoing bookkeeping and annual financial statements, must expect severe penalties, which increase in the event of repeated violations.

What is functional displacement?

Functional relocation occurs when a company's headquarters are moved abroad, for example, to Dubai. In this case, the fictional sale must also be taxed. For limited liability companies, this is typically capital gains tax.

Do all companies in the UAE have to pay taxes?

In principle, everyone has to register, but corporation tax only has to be paid if turnover is over AED 3,000,000. Below this amount, you benefit from Small Business Relief.

Can I avoid tax through offshore companies?

Any company, regardless of the country in which it is registered or incorporated, is subject to UAE tax laws if it is managed from the UAE.

Anyone who thinks they can live in the UAE but settle their accounts via US LLCs or similar is committing tax evasion.
